These Terms of Service (“Terms”) govern the agreement between Calculated Excellence LLC (“Calculated Excellence LLC,” “we,” “our”) and the client (“Client,” “you”) for the provision of web design, development, and related services. By engaging our services, you agree to be bound by these Terms.
1. Scope of Work
A detailed Project Proposal will outline project deliverables, milestones, timeline, and pricing. Any work outside the agreed-upon scope will require a written change request and may incur additional fees.
2. Client Responsibilities
The Client agrees to:
Provide required content, images, branding materials, and feedback in a timely manner.
Ensure all supplied materials are owned by the Client or legally licensed.
Designate a primary contact person for communication and approvals.
Delays in content delivery or approvals may extend the project timeline.
3. Payment Terms
A 33% deposit of the total service estimate plus hosting cost is required prior to project commencement.
The remaining 67% balance is due upon project completion and prior to final delivery, transfer, or launch.
Deposits are non-refundable once work has begun.
Late or missing payments may result in paused work or delayed delivery.
No final files, credentials, or published website will be delivered until full payment is received.
4. Revisions
The Project Proposal will specify the number of included revisions. Any additional revisions, redesigns, or scope changes may incur extra fees and extend the timeline.
5. Ownership & Intellectual Property
Upon full payment, the Client owns the final approved website designs, content, and assets created specifically for the Client.
Calculated Excellence LLC retains ownership of:
Pre-existing tools, frameworks, code libraries, or processes
Design resources and components not created exclusively for the Client
The right to display the work in portfolios, case studies, and promotional materials
6. Hosting & Third-Party Services
Unless specifically stated in the Project Proposal, Calculated Excellence LLC does not provide domain management or long-term website maintenance.
Third-party fees (plugins, themes, subscriptions, integrations, etc.) are the Client’s financial responsibility.
Calculated Excellence LLC is not liable for downtime, performance issues, or security incidents originating from third-party providers.
7. Warranties & Limitations
The website is provided “as is” upon Client approval. Calculated Excellence LLC does not guarantee:
Specific SEO rankings
Increases in traffic, sales, or business performance
Compatibility issues related to third-party services, hosting providers, or future platform updates
All services are rendered with reasonable skill, care, and professionalism.
8. Confidentiality
Both parties agree to protect confidential or proprietary information shared throughout the project unless disclosure is required by law.
9. Termination
Either party may terminate the project in writing.
The Client must pay for all completed work up to the date of termination. Deposits are non-refundable.
10. Liability Limitation
To the fullest extent permitted by law, Calculated Excellence LLC’s total liability for any claim shall not exceed the amount paid by the Client for the project.
Calculated Excellence LLC is not responsible for indirect, incidental, or consequential damages.
11. Acceptance of Terms
By hiring or contracting Calculated Excellence LLC, the Client acknowledges that they have read, understand, and agree to these Terms.
